Terms & Conditions

1. Acceptance of Terms

This website and marketplace (“Platform”) is owned and operated by WoodGrab, LLC (“WoodGrab,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the Platform.

WoodGrab reserves the right to update or modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

2. Marketplace Role

WoodGrab operates as an online marketplace that connects independent sellers (“Sellers”) with buyers (“Buyers”).

WoodGrab is not the manufacturer, distributor, or owner of products listed by Sellers unless explicitly stated.

WoodGrab does not take possession of Seller inventory and is not responsible for product quality, safety, legality, accuracy of listings, or fulfillment unless otherwise stated.

All transactions are entered into directly between Buyer and Seller.

3. User Accounts

Users may be required to create an account to buy or sell on the Platform.

Users agree to:

  • Provide accurate information

  • Maintain the security of their account

  • Accept responsibility for activity under their account

WoodGrab reserves the right to suspend or terminate accounts at its sole discretion for violations of these Terms.

4. Seller Responsibilities

Sellers agree that they are solely responsible for:

  • Accuracy of product listings

  • Product descriptions and representations

  • Pricing and availability

  • Compliance with all applicable laws and regulations

  • Shipping, fulfillment, and delivery

  • Handling customer inquiries and disputes

  • Honoring stated return policies

Sellers must maintain truthful listings and must not misrepresent product condition, origin, or availability.

5. Commission & Fees

WoodGrab charges a 10% commission on the total sale price of each completed transaction conducted through the Platform.

The commission is calculated on the gross transaction amount unless otherwise specified and will be automatically deducted from the payout to the Seller.

WoodGrab reserves the right to modify commission rates with advance notice.

In the event of refunds, disputes, or cancellations, commission adjustments may be made at WoodGrab’s discretion.

6. Prohibition on Circumvention

Sellers may not:

  • Encourage Buyers to complete transactions outside the Platform

  • Share direct contact information for the purpose of avoiding commission

  • Divert sales initiated through WoodGrab to offline or external channels

Any attempt to bypass the Platform may result in:

  • Immediate account suspension

  • Permanent removal

  • Forfeiture of unpaid commissions

  • Additional remedies permitted by law

7. Buyer Responsibilities

Buyers are responsible for:

  • Reviewing product descriptions before purchase

  • Providing accurate shipping information

  • Inspecting shipments upon receipt

Buyers must report:

  • Shipping damage within 7 calendar days of delivery

  • Defective or incorrect items within 14 calendar days of delivery

Failure to report within these timeframes may result in denial of claim.

8. Returns & Disputes

Return eligibility and policies are determined by individual Sellers unless otherwise stated.

If a product is incorrect, defective, or damaged in transit, the Seller is responsible for resolving the issue.

Return freight charges for incorrect or defective products are generally the responsibility of the Seller.

WoodGrab may assist in dispute resolution but is not obligated to mediate or issue refunds unless required by law.

WoodGrab reserves the right to make final determinations regarding disputes when necessary to protect platform integrity.

9. Intellectual Property

All content on the Platform, including text, graphics, logos, and site design, is the property of WoodGrab, LLC and may not be reproduced without written permission.

Sellers retain ownership of their listing content but grant WoodGrab a non-exclusive license to display, reproduce, and promote such content on the Platform.

10. Limitation of Liability

To the fullest extent permitted by law, WoodGrab shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits or business interruption

  • Disputes arising between Buyers and Sellers

  • Product defects or fulfillment errors

WoodGrab’s total liability shall not exceed the amount of commission earned from the transaction giving rise to the claim.

11. Indemnification

Users agree to indemnify and hold harmless WoodGrab, LLC, its owners, officers, and affiliates from claims, damages, losses, or expenses arising from:

  • Violation of these Terms

  • Misrepresentation of products

  • Failure to comply with applicable laws

12. Termination

WoodGrab may suspend or terminate any account at its discretion for:

  • Violations of these Terms

  • Fraudulent behavior

  • Circumvention attempts

  • Activity that harms the marketplace or its users

Termination does not relieve Sellers of outstanding fee obligations.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles.
